UK TURKEY LIFE LTD STANDARD TERMS AND CONDITIONS OF SERVICE
These are our Standard Terms and Conditions which apply to our service provision and purchases including, but not limited to, online and offline services. By accessing our services and/or placing an order with us, the Client agrees to be bound by these terms and conditions.
DEFINITIONS
“UK Turkey Life” and “UKTL” means UK Turkey Life Ltd.
“Client” means the individual or business entity that executes this Contract.
“Contract” means the order for the supply of services being rendered, accepted by UKTL Ltd.
“Working day” means a day other than a Saturday, Sunday or Public Holiday in the United Kingdom, when banks in London are open for business.
1. CONDITIONS
1.1 No conditions other than those set out herein, nor any variation thereof, will be binding by UK Turkey Life unless otherwise specifically agreed in electronic communications or signed and agreed by an authorized representative of UK Turkey Life and the Client.
2. ORDERING FROM UK TURKEY LIFE
2.1 These conditions shall be incorporated in every offer, acceptance and contract of work by UK Turkey Life and, subject to the foregoing, any conditions proposed by the Client are hereby excluded.
2.2 Upon receipt of the Client’s order, UK Turkey Life will give confirmation of acceptance, and no Contract will be in place until such time.
2.3 Each order, when accepted, constitutes a separate Contract but shall be subject to these conditions.
2.4 Where delivery is made in instalments, each delivery shall be deemed as a separate sub -Contract and any failure whatsoever by UK Turkey Life in respect of any one delivery shall not entitle the Client to repudiate the Contract or any instalments remaining to be delivered.
2.5 UK Turkey Life may refuse at its discretion to accept an order. If UK Turkey Life rejects the order having already processed your payment, UK Turkey Life will re-credit your account with the amount deducted from your payment method as soon as possible, but in any event within 30 days of your order. UK Turkey Life will not be obliged to pay any additional amount as compensation for disappointment.
3. VISA APPLICATION SERVICE
3.1 Accepting a Visa related order UK Turkey Life will prepare all kinds of visa applications documents in accordance with the demands of the UK Government. Achieved by providing the services for the Customer, such as entering the information provided by the customer into the system, transferring to the official application on behalf of the customer, translating where appropriate, ensuring all supporting documents are PDF, and uploading them as necessary.
3.2 The customer acknowledges and confirms that he/she knows the following:
UK Turkey Life does not participate in the control and approval process of a visa to the United Kingdom. According to the relevant laws and regulations of the UK, official UK Visa Departments are authorised to decide whether a visa is granted, the type of visa that is issued, the validity period of the visa, the duration of stay and the number of entries. The customers application fee for the visa is non-refundable by the UK authorities, and as such UK Turkey Life is unable to refund the customer if the visa is not granted. UK Turkey Life services and costs, charged to the customer during this application process is also not refundable.
3.3 Customers should understand that UK Turkey Life is not an official institution and that the advisory service is a consultation service for the Customer's questions based on UK Turkey Life knowledge, current belief, and understanding of the UK governments position with particular reference to visa applications. Under no circumstances shall it imply undertaking of any commitments, guarantees or other legal obligations.
3.4 The customer must provide UK Turkey Life with all the necessary documents for the visa application, and anything extra that is reasonably requested for the agreed purpose, and pledge the truth and accuracy of all information provided.
3.5 If an error or mistake in the application process is made by UK Turkey Life, which leads directly to a refusal, we will refund UK Turkey Life consultancy charge placed on the customer. We will not be liable for any other losses incurred by customer for not receiving the visa. Errors made, or information that isn’t clear given by the customer will remain the fault of the customer and the company shall not be liable. If the customer realizes that there is any error, s/he should immediately notify UK Turkey Life who will will take steps to make the correction if possible.
3.6 The information provided by the customer is transferred to the Embassies and Consulates. UK Turkey Life archives Customer information by physical or electronic means and adopts management measures to use all information correctly and, makes efforts to prevent the illegal disclosure and unauthorized use of Customer information.
3.7 UK Turkey Life is not responsible for the consequences arising from reasons such as natural disasters, force majeure, accident and theft that may occur during the transfer of information and documents between UK Turkey Life and the UK Visa Department.
3.8 The client should adjust the visa application time according to their itinerary. UK Turkey Life shall not take any responsibility in the event that the customer's travel plan is affected due to the customer's failure to apply for the visa within the time suggested by current advertised visa timelines. The UK regularly changes this suggested time depending on demand and their own staffing levels. Other faster services are available and it is the customers responsibility to choose the service required at the outset.
3.9 UK Turkey Life does not accept any other direct or indirect costs relating to the visa application if it is not successful, unless UK Turkey Life has made a mistake owing to UK Turkey Life negligence. Negligence does not include checking the truthfulness or accuracy of the information provided by the client. UK Turkey Life will not as a matter of course conduct any due diligence checks. UK Turkey Life assumes that all information provided by the Customer is accurate.
3.10 The Client, accepts and confirms that UK Turkey Life cannot be held responsible for losses whether arising from the relevant visa application and/or the application service provided by UK Turkey Life
3.11 The provisions within the scope of this text are subject to the laws of the place where UK Turkey Life company is located. In case of a lawsuit regarding the visa application service, the local courts in the area where UK Turkey Life is located will be authorized.
4. PRICING
4.1 Estimates or quotations are given on the basis of the Client’s description, information and/or any source material provided. UK Turkey Life reserves the right to adjust pricing and/or delivery estimates upon receipt and evaluation of any final information and/or source materials for service which alter the original request. Invoices will be in accordance with estimates or quotations and/or any subsequent cost revisions submitted by UK Turkey Life and agreed by the client. Prices are recorded in Turkish Lira, Dollars and Pound Sterling, where appropriate.
4.2 Estimates or quotations are valid for 30 days from the date of issue and may be subject to change thereafter, at the discretion of UK Turkey Life, unless pricing forms part of a formal Contract agreed beforehand by UK Turkey Life.
4.3 Payment to UK Turkey Life shall be effected in full no later than 30 days from the date of invoice.
4.4 Late payments will have interest applied at a rate of 9% per annum over the Bank of England’s base rate, (or such rate as is determined by statute, the latter prevailing), and compensation for debt recovery costs to all overdue sums from the date on which they become due until they are paid in full.
4.5 UK Turkey Life shall issue the invoice upon supply of the services under the Contract.
5. CANCELLATION
5.1 If the Client cancels or withdraws any portion of the service(s) requested, even if through no fault of their own, then, in consideration of UK Turkey Life performing the said service(s), the Client shall reimburse UK Turkey Life for the services it had arranged to supply. Payment of 50% shall be sought if notice of cancellation is given within a month of the anticipated delivery, but not less than 14 days. If less than 14 days notice is given then UK Turkey Life will be forced to ask for the full agreed quote to be paid. Any cancellation prior to 30 days shall be accepted without any cost to the client. Payment is only required after the client receives the appropriate invoice.
6. DISCLAIMER
6.1 Whilst UK Turkey Life endeavours to ensure that the information on UK Turkey Life website and other printed materials is correct, UK Turkey Life does not warrant its accuracy and completeness.
6.2 The material on the website and other printed and electronic materials is provided “as is” without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, UK Turkey Life provides the Client with these materials, on the basis that UK Turkey Life excludes all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for these terms and conditions might have effect in relation to UK Turkey Life website and other electronic and printed materials. See section 11
6.3 Information sent or displayed as electronic material, is for general information purposes only, and should not be taken as legal advice. Detailed and comprehensive research is completed but once published any commentary, quotes, societal direction and legal references may not be remain current and accurate. Subsequently, UK Turkey Life cannot accept responsibility for loss which may arise from accessing or reliance on information contained from published material. UK Turkey Life, is registered in the United Kingdom, the Visa Department and advisors are based in Turkey. Official legal advice is not supplied, the advice provided is gained from knowledge of the UK Visa process, and experience of assisting individuals with visa applications.
7. LIABILITY
7.1 UK Turkey Life liability (and that of the staff, directors, employees, or agents) of any kind (including negligence) with respect to any of the services or for any one event or series of related events is limited to the value of the total paid for each specific event or service.
7.2 Whilst every attempt is made to ensure that services are provided as accurately as possible, no guarantee is given in that regard, and UK Turkey Life shall not be held liable for any consequential loss or damage caused by any inaccuracy or difference of interpretation.
7.3 UK Turkey Life and Contractors representing UK Turkey Life, shall act with absolute confidentiality and will respect the sensitive information it is exposed to as a result of work undertaken. Staff and Contractors acknowledges that such Confidential Information is the sole and exclusive property of the Client. Maintenance of the confidentiality thereof is essential to the Clients ability to manage its public responsibility and private intellectual property rights. Therefore, during the term of UK Turkey work, all staff will not, without the express written consent of the Company and Client, directly or indirectly communicate or divulge any Confidential Information to any third party;
7.4 If thirty (30) days elapse following the delivery of the project without communication from the Client of any concerns with UK Turkey Life performance, then the Client irrevocably waives all rights to dispute payment of any and all invoices pertaining to such project.
7.5 Dates and times for expected delivery of the services from UK Turkey Life, whether in writing or verbal, are bona fide estimates which UK Turkey Life will endeavour to meet. However, UK Turkey Life cannot warrant this, and no liability shall be attached to UKTL in the event of delivery being delayed.
7.6 In the event of employees or subcontractors being unable to attend an event or deliver a service, or equipment, UKTL shall use all reasonable measures to provide a replacement, failure to do so is accepted as a poor service. In the event of UKTL being unable to provide such a replacement, UK Turkey Life shall only be liable to reimburse the Client for any advance payments made to UK Turkey Life in respect of that specific session or project.
7.7 The client should adjust the visa application time according to his/her itinerary. UK Turkey Life shall not take any responsibility in the event that the customer’s travel plan is affected due a visa decision not being returned within the required time frame. The UK regularly changes this suggested time depending on demand and their own staffing levels. Whilst UK Turkey Life will make every effort to process the client’s agreed service in the time agreed.
7.8 UKTL does not accept any other direct or indirect costs relating to the visa application if it is not successful, unless the company has made a mistake owing to their negligence. If negligence is proven they will reimburse the UK visa fee and UK Turkey Life fees. No other costs will be reimbursed including recompensing for disappointment. Negligence does not include checking the truthfulness or accuracy of the information provided by the client. UK Turkey Life may at its discretion conduct due diligence checks and may engage other third parties in doing so, by submitting an application, the client allows these due diligence checks to be completed. UK Turkey Life will not, as a matter of course conduct any due diligence checks. UK Turkey Life assumes that all information provided by the Customer is accurate and lawful. If UK Turkey Life discovers any fraud they will inform the UK Government representatives of such. No refund will be made to the client if the Visa application is refused as a result of fraud being discovered as a result of UKTL’s notification.
7.9 The provisions within the scope of this text are subject to the laws of the place where the company is registered. In case of a lawsuit regarding the visa application service, the local courts in the UK where the company is located will be authorized.
8. DELIVERY
8.1 Delays shall under no circumstances amount to or be deemed to be a breach of Contract, nor shall the Client be entitled to treat the Contract as repudiated due to the delay, or claim any financial compensation. However, UK Turkey Life will make every effort to abide by the timescales agreed and will in discussions with the client consider a reduction in charges.
8.2 The timelines given in UK Turkey Life quotations do not include carriage of post, if applicable to the order.
8.3 Translated materials will be provided in a standard PC Microsoft Word document, Power Point and/or Adobe PDF. Documents required in other software packages or formats may be subject to separate charges unless otherwise agreed in writing by UK Turkey Life prior to commencing the project.
8.4 UK Turkey Life will deliver hard copies of certified translated documentation ordered the Client as soon as possible to the address given for delivery. UK Turkey Life shall not be responsible for shipping delays or loss if proved that the article was given to the postal or fast parcel representative.
9. ANNOTATIONS TO DRAWINGS AND POWER POINT LABELS
9.1 UK Turkey Life will, as standard, provide translations of any annotations to drawings within a table upon the written request of the Client. UKTL will endeavour to insert translated text or modify annotations to drawings in order to make a readable translated version of the drawings.
9.2 UK Turkey Life provide this service by way of assisting the Client and cannot accept responsibility for any inadvertent errors that may arise. If the Client or third parties wish to use the translated drawings to make decisions on technical or legal matters, reference should always be made to the originals. Furthermore, UK Turkey Life work on the basis that the Client takes all responsibility for any questions of copyright, which may arise if UK Turkey Life modify the drawings of a third party.
10. COPYRIGHT
10.1 The Client hereby grants UK Turkey Life a limited right to use the items provided to UK Turkey Life by the Client for the sole purpose of UK Turkey Life performing the services under the Contract.
10.2 Any translation of items owned by the Client(s), provided by UK Turkey Life pursuant to the Contract shall be remain the property of the Client upon the Client’s completion of all payments provided herein. To the extent necessary UK Turkey Life shall use reasonable endeavours to procure the transfer of title or a grant of an exclusive irrevocable perpetual license to use the items to be provided to the Client under the Contract. Following delivery of the items to the Client or termination of the Contract, UK Turkey Life shall return to the Client (or if instructed by the Client, destroy) all items and materials provided to UK Turkey Life in connection with the Contract.
10.3 Material purchased by the Client, which was originally prepared by UKTL, such as but not limited to the Self Application Guide is protected by Copyright. As permitted under the Copyright, Designs and Patents Act 1988, publications and information supplied electronically may only be reproduced, stored or transmitted, in any form, or by any means, with the prior permission in writing of the owner of UK Turkey Life, and in the case of reprographic reproduction, in accordance with the terms of licenses issued by the Copyright Licensing Agency. Enquiries concerning reproduction outside those terms should be sent to UK Turkey life
11. WEBSITE
11.1 UK Turkey Life will make every effort to ensure that the content on the website is correct, however they do not hold responsibility or liability regarding the accuracy, completeness, or reliability of any information on the website. UK Turkey Life may unilaterally change the content on this site, and the product or price information defined in the content without any prior notice. The contents on the website may have expired, but UK Turkey Life does not make any commitments to update such contents. UK Turkey Life will however, make every effort to remain current and provide an honest and transparent explanation of the current rules that the UK imposes on those seeking a Visa.
The contents of the Website are provided "as is" unbound by any terms, commitments, or other conditions. The conditions implicitly expressed by law may be binding for the non-liability content on our website.
12. GOVERNING LAW AND JURISDICTION
12.1 These terms and conditions are governed by and construed in accordance with the Law of England and Wales. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of England and Wales and all parties agree and acknowledge that the work for which these terms and conditions are signed is most closely connected with England.
13. MISCELLANEOUS
13.1 The Client may not assign, sub-license or otherwise transfer any rights under these terms and conditions.
13.2 If any provision of these terms and conditions is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions, which shall continue to have full force and effect.
13.3 No person other than the parties to these terms and conditions are intended to benefit from them pursuant to the Contracts (Rights of Third Parties) Act 1999.
13.4 UK Turkey Life may use the Clients company’s name on promotional material as a reference to Clients that UK Turkey Life have provided a service, this will happen as a matter of course unless UK Turkey Life are given a prior request not to do so.
13.5 By giving feedback to UK Turkey Life, the client permits the use of this information and an image of themselves in any marketing material. As an extra layer of assurance, UK Turkey Life will inform the client if their identity is to be used.
14. PRIVACY POLICY
14.1 UK Turkey Life are committed to respecting your privacy and protecting your personal information. UK Turkey Life will use the information you give for the purposes of providing you with the services you have requested and promoting our services. If you tell us you don’t want to receive marketing information, we will stop sending it. We will put in place measures to protect your information and keep it secure. We will respect your data protection rights and aim to give you control over your own information.
